ISM Carolinas-Virginia and NAPM-Virginia Merger Update

The planned merger of ISM-CV and NAPM-VA is making great progress. The merger team that has been put together is working diligently on the potential infrastructure, processes, and legal qualifications. The merger team is composed of nine members plus any adhoc members as needed.

There are currently seven focus areas:

1. Executive Committee and Board of Directors
     • determine its composition
     • decide terms of offices
     • define duties
     • decide process by which they are elected

2. Constitution and By-Laws
     • create a document that includes a combination of both Affiliates into one
       Affiliate (compliant with ISM Policy)

3. Incorporation Documents
     • address the legal and financial aspects of being incorporated
     • complete necessary document revisions in order to end up with a single
       instrument
     • complete and file certain forms with the SEC to dissolve and establish
       a new organization

4. Central Office Location and Structure
     • decide where the Central Office will be located and what staffing will
       be required

5. Standing Committees and Affiliate Meetings
     • define what standing committees we will have after the merger, both at
       the Affiliate level and the Chapter level
     • also define where, what, when, and how the Affiliate meetings take
       place

6. Communications
     • define how we keep the membership of both Affiliates updated on the
       merger efforts, before and after the merger
     • determine what capabilities should be included with the new website

7. Finance
     • decide how we will do a budget
     • determine what input is needed and from whom
     • define what available finances there are to begin the merged group with
       interaction from chapter financial reporting, expenses, etc.

As you can see, there is a lot going on towards a merger of the two Affiliates. We have a timeline that will get us to completion by July 1, 2008. Between now and then we must complete all the action items within the above seven areas, including a new Board of Directors, Officers, and Affiliate Committee Chairpersons. Once the merger takes place, we will have nineteen chapters stretching from Virginia to Charleston, SC and have approximately 1800 members!

This is an exciting time for ISM-CV and NAPM-VA. We, the merger team, want to share our enthusiasm with all our members. Change and growth can be hard to work through, but in the end it will be worth the effort. C.S. Rice (President, ISM C-V) and I will continue to update you on the merger progress.

Low Cost Country Sourcing (LCCS)

The race to source products and services in China, Southeast Asia, India, Eastern Europe and other low-cost countries continues, notwithstanding the recent controversies about product quality and consumer safety.

The economic climate in the more industrialized regions of coastal China has provided a remarkable increase in the standard of living in those areas, and this in turn has fueled the push to inland China and other less developed regions. This economic growth is seen in urban and rural India, as well as other parts of the globe. This “LCCS” class looks at:

  • The sourcing strategies proven to be successful.
  • What new risks are companies assuming as they continue to look for lower costs and improved quality?
  • How do successful companies perform supplier due diligence?
  • How do IPOs (International Purchasing Offices) impact global sourcing decisions?

This day-long course also provides insight into these topics as well as recurring issues around workforce development, back office operations, and call centers. One of the two short case studies focuses on off shoring vs. plant modernization, and the other case study looks at how one computer services company made the decision to offshore some of their engineering and design functions.
